This Affiliate Agreement (“Agreement”) contains the complete terms and conditions between Kullid (“Company,” “we,” “us,” or “our”), and you (“Affiliate,” “you,” or “your”), regarding your participation in the Kullid Affiliate Program (the “Program”).

By submitting an application to join the Program or by using our affiliate links, you affirm that you have read, understood, and agree to be bound by all the terms and conditions of this Agreement.

1. Program Overview & Enrollment

The Program allows you to earn commission fees for referring customers to our website, https://kullid.net, through specially formatted tracking links.

To enroll, you must submit a complete application. We reserve the right to approve or reject any application at our sole discretion based on the suitability of your website, social media presence, or other platform and its alignment with our brand values. Applications may be rejected for reasons including, but not limited to, content that is inconsistent with our brand image or the use of prohibited marketing methods outlined below.

2. Affiliate Obligations

2.1. Compliance with Laws: You are responsible for complying with all applicable South African laws and regulations, including the Consumer Protection Act, 2008 and the Protection of Personal Information Act, 2013 (POPIA). You must also comply with the guidelines of the Advertising Regulatory Board (ARB).

2.2. Disclosure: You must clearly and conspicuously disclose your affiliate relationship on your site, social media, emails, and any other channel where you post affiliate links. A clear statement such as “This post contains affiliate links for Kullid. I may earn a commission if you make a purchase at no extra cost to you.” is required.

2.3. Prohibited Activities: You agree NOT to:

  • Use prohibited content: Promote our site using content that is pornographic, hateful, violent, discriminatory, illegal, or otherwise offensive.

  • Engage in spamming: Send unsolicited electronic communications (spam) as defined in the Electronic Communications and Transactions Act, 2002.

  • Bid on branded keywords: Use paid search advertising (e.g., Google Ads) to bid on keywords containing “Kullid,” “kullid.net,” or any misspellings thereof.

  • Misrepresent the brand: Engage in false, misleading, or deceptive advertising. You may not create websites, social media profiles, or domains that imply they are officially owned by Kullid.

  • Use cookie-stuffing: Use any deceptive or hidden methods to place tracking cookies on a user’s device.

  • Use incentivized programs: Use your affiliate link in any paid advertising, coupon, or deal site without our prior written consent.

  • Promote using discounted codes: Use any discount or coupon code not explicitly provided by Kullid for use by all customers.

3. Commissions & Payment

3.1. Earning Commissions: You will earn a commission on qualifying sales that are tracked through your unique affiliate link and made by a new customer who has not previously purchased from kullid.net. A “qualifying sale” is a completed transaction that is not subsequently refunded or charged back.

3.2. Commission Rate: The current standard commission rate is 10% on the total sale value (excluding taxes and shipping). We reserve the right to change the commission structure at any time, with notice provided to active affiliates.

3.3. Payment Threshold & Schedule: Commission payments will be processed monthly. Payment will be issued via PayPal] once your balance exceeds the minimum threshold of ZAR 250. You are responsible for providing correct payment details. Payments will only be issued upon provision of a valid tax invoice from you, as required by South African law.

3.4. Refunds & Chargebacks: If a customer requests a refund or issues a chargeback for a product on which you earned a commission, the commission for that sale will be deducted from your future earnings.

4. Intellectual Property

4.1. License: We grant you a non-exclusive, revocable, non-transferable license to use the trademarks, logos, and marketing materials we provide solely for the purpose of promoting kullid.net in accordance with this Agreement.

4.2. Restrictions: You may not modify our trademarks, logos, or creative assets without prior written consent. All goodwill generated from the use of our intellectual property shall inure to our benefit.

5. Term & Termination

5.1. Term: The term of this Agreement begins upon your application approval and continues until terminated.

5.2. Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Termination is effective immediately upon receipt of such notice.

5.3. Post-Termination: Upon termination, you must immediately cease using all our intellectual property and remove all affiliate links from your Site. You will be paid all outstanding commissions earned prior to the termination date, subject to the standard payment terms.

6. Limitation of Liability

To the fullest extent permitted by South African law, Kullid shall not be liable for any indirect, special, incidental, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Program.

7. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with this Agreement shall be submitted to arbitration in Johannesburg in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), and such arbitration shall be final and binding.

8. Miscellaneous

8.1. Independent Contractor: You are an independent contractor. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

8.2. Modification: We reserve the right to update or modify this Agreement at any time. Changes will be effective upon posting to our website. Your continued participation in the Program after changes are posted constitutes your acceptance of the modified Agreement.

By checking the box on the application form, I acknowledge that I have read, understood, and agree to be bound by the terms and conditions of this Kullid Affiliate Program Agreement.
